Most have an indoor area plus outdoor space for the countdown. The appeal is the view, a more exclusive crowd, and not having to stand in the street.

Not every rooftop can see the Ball. Only a few venues around Times Square have a direct sightline, and they usually say so explicitly. Many other rooftops offer skyline views and screens at midnight, which can be just as festive if you know what you're buying.
